Except for requirements (subject to the company’s constitution) in the Companies Act 1993 to chair meetings of shareholders and directors, the role of the chairman is not prescribed by legislation. The chairman is the director elected by the board of directors to chair meetings of the board and to sign the minutes. He or she also usually chairs shareholder meetings.
